Healthcare in Canada - June 1997

Allegiance Healthcare Canada, Toronto (formerly part of Baxter Canada) and MDS Inc., Toronto have announced their intention to combine their Canadian healthcare products and distribution businesses, creating a new company that would serve hospitals and other healthcare facilities across Canada. The new company, yet to be named, would combine the healthcare products and distribution businesses of MDS Ingram and Bell (an MDS subsidiary), and Allegiance Healthcare Canada, a subsidiary of Allegiance Corporation of McGaw Park, Illinois. The new company will be Canada's leading medical supply, specialty product marketing and distribution company. It is expected to have annual sales of approximately $300 million, or about 15 percent of the $2-billion market for medical and surgical supplies in Canada. The new company will distribute a full range of healthcare products from high quality manufacturers including the manufactured products of Baxter, Allegiance and MDS Ingram & Bell. Allegiance Healthcare Canada Inc. was formed in September 1996, as part of the spin-off of Allegiance Corporation from Baxter International. Since that time, Baxter Canada has operated as one company on behalf of Baxter and Allegiance.

The Canadian Blood Bank Corporation (CBBC), St John's, NFLD, opened its prototype clinic, a private sector clinic for the collection and long-term storage of blood and the first of a series to be established across Canada. The CBBC received its final approval and authority to operate from Health Canada on February 17, 1997. The blood bank was developed by Chairman and Chief Executive Officer Charles Richardson and President Paul Stanbury. The St. John's clinic will be operated under the overall professional direction of its Medical Director, Dr. Vinod Patel, who is also Clinical Chief of the Emergency/Trauma program at the Health Care Corporation of St. John's and a Clinical Associate Professor for the Faculty of Medicine at Memorial University of Newfoundland. Day-to-day management of technical operations will be under the supervision of a specialist in blood technology, Sheila Haddad. Cost to the client will be $150 for a laboratory and processing fee and the initial collection of four units of whole blood, and a storage fee of $8 per month.

In Toronto, Dynacare Inc., Gamma North Peel Laboratory Limited and Bio-Science Laboratory (Ontario) Limited announced today the completion of the previously announced agreement to combine their Ontario operations. The new partnership, which began operations on June 1, 1997, is the largest clinical laboratory in Ontario providing laboratory services to physicians, clinics, hospitals and other health care providers through 4 technically sophisticated core laboratories, 18 rapid response laboratories and more than 65 specimen collection centres throughout the province.

The Ontario Cancer Institute/Princess Margaret Hospital is entering into negotiations to merge with The Toronto Hospital subject to negotiation of a satisfactory merger agreement and due diligence over the next four-week period. It is proposed that the Princess Margaret Hospital Foundation be maintained as a separate and distinct entity empowered to carry on with its normal fundraising and cancer education activities with all funds raised directed exclusively to cancer research and oncology programs as directed by its Board. The primary objective of the proposed merger is to combine the oncology programs of both OCI/PMH and TTH and to capitalize on the strengths of each to create a leading world class comprehensive cancer centre embracing all aspects of oncology including patient treatment and care, research and education in partnership with its patients and communities and fully affiliated with the University of Toronto.
